Terms of Service for PromptLab Add-on

1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of the PromptLab Google Sheets™ Add-on ("Add-on") and any related backend services (collectively, the "Service") provided by PromptLab ("we," "us," or "our").

By installing or using the Service, you agree to be bound by these Terms and our Privacy Policy (available here). If you do not agree to these Terms, do not use the Service.

Using the Service requires creating an account and obtaining an API key from our website: https://promptlabco.com.

2. Service Description

The PromptLab Add-on allows users to utilize custom functions within Google Sheets (e.g., `=Testprompt`, `=LLMCost`, `=limit`, `=usage`). These functions interact with our backend service, which in turn communicates with various third-party Large Language Model (LLM) providers to generate responses, estimate costs, and track usage based on the API key provided by the user.

3. User Accounts and API Keys

You must register for an account on our website (https://promptlabco.com) to obtain an API key required to use the Service. You agree to:

  • Provide accurate and complete information during registration.
  • Maintain the security and confidentiality of your account password and API key.
  • Be solely responsible for all activities that occur under your account and API key.
  • Notify us immediately of any unauthorized use of your account or API key.

Use of the API key is limited to accessing the Service through the intended means (i.e., the PromptLab Add-on and associated functions).

4. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Add-on solely for your internal personal or business purposes within the Google Sheets environment.

5. User Obligations and Conduct

You agree to:

  • Comply with all applicable laws and regulations in your use of the Service.
  • Be solely responsible for the accuracy, quality, and legality of the data and prompts you input into the Service ("Input Data").
  • Not use the Service for any illegal, harmful, or abusive purpose.
  • Not attempt to interfere with, disrupt, or compromise the security or integrity of the Service or our backend systems.
  • Not reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Add-on or related backend services.
  • Comply with the terms of service and usage policies of any third-party LLM providers accessed via the Service.
  • Not use the Service to generate content that infringes intellectual property rights, is defamatory, obscene, harassing, or otherwise unlawful or objectionable.

6. Intellectual Property

We retain all rights, title, and interest in and to the Service, including the Add-on, backend code, documentation, and any associated branding or trademarks. These Terms do not grant you any rights to our intellectual property except for the limited license specified in Section 4.

You retain all rights, title, and interest in and to your Input Data. You grant us a worldwide, royalty-free license to use, process, and transmit your Input Data solely as necessary to provide and improve the Service in accordance with these Terms and our Privacy Policy.

7. Third-Party Services (LLMs)

The Service relies on integrations with third-party LLM providers. You acknowledge that:

  • We do not control and are not responsible for the availability, accuracy, content, security, or policies of these third-party LLM providers.
  • Your use of third-party LLMs via our Service is subject to the terms and policies of those providers.
  • The responses generated by LLMs may be inaccurate, incomplete, biased, or offensive. You should independently verify any critical information obtained via the Service.

8. Fees and Payment

Access to and use of the Service may be subject to fees based on usage levels or subscription plans. Current pricing information, if applicable, is available on our website (https://promptlabco.com). You agree to pay any applicable fees associated with your use of the Service.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
  • THE RESULTS OBTAINED FROM THE USE OF THE SERVICE (INCLUDING LLM RESPONSES AND COST ESTIMATIONS VIA `=LLMCost`) WILL BE ACCURATE, RELIABLE, COMPLETE, OR SUITABLE FOR YOUR NEEDS.
  • ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

YOU USE THE SERVICE AND RELY ON ANY INFORMATION OR OUTPUT OBTAINED THROUGH THE SERVICE AT YOUR OWN RISK.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROMPTLAB, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE;
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY (INCLUDING LLM PROVIDERS) ON OR RELATED TO THE SERVICE;
  • ANY CONTENT OBTAINED FROM THE SERVICE (INCLUDING LLM RESPONSES); OR
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS, DATA, OR API KEY.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF PROMPTLAB EXCEED THE GREATER OF ONE HUNDRED INDIAN RUPEES (INR 100) OR THE AMOUNT YOU PAID PROMPTLAB, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless PromptLab and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of and access to the Service;
  • Your violation of any term of these Terms;
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right; or
  • Any claim that your Input Data caused damage to a third party.

12. Term and Termination

These Terms remain in effect as long as you use the Service.

You may terminate these Terms at any time by discontinuing use of the Add-on and deleting your account on our website.

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide reasonable notice prior to any new terms taking effect (e.g., via email to your registered address, notification on our website, or within the Add-on). What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

14. Miscellaneous

  • Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
  • Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and PromptLab regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.
